Corporate Governance Theories: From Micro Theories to National Systems Theories

The objective of this article is to conduct a survey of the different corporate governance theories. In the first part, we present the micro theories by opposing the disciplinary view to the knowledge-based view. The second part deals with the macro or national systems theories. We separate the theories based on appropriation of the organizational rent from those attributing a dominant role to production. This survey highlights that the financial view of corporate governance is a very particular case and presents many limits.

La convergence des systèmes nationaux de gouvernance: une perspective contingente

The objective of this paper is to show that the answer to the question of convergence of national systems of governance is contingent on a number of assumptions. The first assumption bears on the functions and the formal mechanisms characterizing the systems of governance. The second concerns the possibility to define a unique national system of governance for all the firms of a nation. The third focuses on the process of homogenization of national systems of governance attributed to globalization.

The sixth round of the International Measurement Evaluation Programme (IMEP) is presented. The programme offers reference values, established by primary methods of measurement, against which participating laboratories can evaluate their performance. The degree of comparability is thus established against the most objective references available at present.
